These terms govern use of the OpsWork product and website ("Service") operated by Saqib Engineering Ltd, a company registered in England and Wales, trading as OpsWork ("we", "us"). They apply between us and the entity that subscribes to the Service ("Customer", "you").
Use of the Service is subject to these terms, the Privacy Policy, and the Data Processing Agreement. A separate written Master Services Agreement (MSA) signed before deployment takes precedence in case of conflict.
Subscriptions are based on a 12-month minimum term with monthly billing. Pricing is per tier, not per user. Tiers and pricing are published at /pricing. We will give 30 days' written notice of any price change at renewal.
Either party may terminate the subscription at the end of the minimum term on 60 days' written notice. We may terminate immediately for non-payment after 14 days' written notice, or for material breach.
OpsWork is an AI Business Operating System deployed inside the customer-controlled Microsoft 365 tenant and Azure subscription. The Service comprises six AI agents (Emma, Sarah, James, Robert, Michael, Paul), supporting Logic Apps, SharePoint structures, and the Bridge decision-queue interface. Client-facing, irreversible and material actions require human approval before reaching a client. Support access by OpsWork Ltd requires explicit customer approval, is time-bound and is logged. Enterprise SLA terms are defined in the Enterprise Master Services Agreement; source code escrow on the Enterprise tier is similarly covered there. OpsWork will notify affected customers without undue delay after becoming aware of a confirmed security incident involving customer data.
You agree not to use the Service to: (a) violate any applicable law; (b) infringe third-party intellectual property; (c) attempt to disrupt or compromise the Service or any other customer; (d) reverse-engineer the Service except where permitted by law; (e) submit content that is unlawful, defamatory, or harmful.
You retain all rights, title and interest in your data and content. The Service operates inside your Microsoft 365 tenant; your data does not leave your tenant boundary. We retain ownership of the Service software, agent designs, knowledge base, and underlying intellectual property. You receive a non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
Both parties will hold the other's confidential information in confidence and use it only for purposes of the engagement. This obligation survives termination for five years.
We warrant that the Service will perform materially in accordance with its documentation. Beyond this warranty, the Service is provided "as is". We do not warrant fitness for any particular purpose beyond the agreed Service scope. Agent outputs are drafts for engineer approval — engineering judgement and sign-off remain the Customer's responsibility.
Neither party will be liable for indirect, consequential, or special losses. Each party's total liability under or in connection with these terms is capped at the fees paid by the Customer in the 12 months preceding the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under English law.
We will indemnify the Customer against third-party claims that the Service, as supplied by us, infringes their intellectual property, subject to the liability cap above. The Customer will indemnify us against third-party claims arising from the Customer's content or use of the Service in breach of these terms.
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
